CONVENIO DE COLABORACIÓN QUE CELEBRAN, POR UNA PARTE LA UNIVERSIDAD NACIONAL AUTÓNOMA DE MÉXICO, A LA QUE EN LO SUCESIVO SE LE DENOMINARÁ "LA UNAM", REPRESENTADA EN ESTE ACTO POR EL DR. EDUARDO BÁRZANA GARCÍA, EN SU CARÁCTER DE SECRETARIO GENERAL, CONJUNTAMENTE CON EL DR. FRANCISCO JOSÉ TRIGO TAVERA, SECRETARIO DE DESARROLLO INSTITUCIONAL, ASISTIDOS POR EL DR. ROBERTO CASTAÑÓN ROMO, DIRECTOR DEL CENTRO DE ENSEÑANZA PARA EXTRANJEROS; Y POR LA OTRA PARTE, LA UNIVERSIDAD DE AMBERES, A LA QUE EN LO SUCESIVO SE LE DENOMINARÁ "UNIVERSIDAD DE AMBERES" REPRESENTADA EN ESTE ACTO POR SU RECTOR, DR. ALAIN VERSCHOREN, CONFORME A LAS DECLARACIONES Y CLÁUSULAS SIGUIENTES:

DECLARACIONES

I. DECLARA "LA UNAM":

1.1. Que de conformidad con el artículo 1° de su Ley Orgánica publicada en el Diario Oficial de la Federación el 6 de enero de 1945, es una corporación pública, organismo descentralizado del Estado, dotada de plena capacidad jurídica y que tiene por fines impartir educación superior para formar profesionistas, investigadores, profesores universitarios y técnicos útiles a la sociedad, así como organizar y realizar investigaciones, principalmente acerca de las condiciones y problemas nacionales, y extender con la mayor amplitud posible los beneficios de la cultura.

1.2. Que la representación legal de esta casa de estudios recae en su Rector, Dr. José Narro Robles, según lo dispuesto en los artículos 9° de su Ley Orgánica y 30 de su Estatuto General, teniendo, conforme a la fracción I del artículo 34 del propio Estatuto, facultades para delegarla.

1.3. Que el Dr. Eduardo Bárzana García, Secretario General, y el Dr. Francisco José Trigo Tavera, en su carácter de Secretario de Desarrollo Institucional, cuentan con las facultades necesarias para suscribir este instrumento, de conformidad con el Acuerdo que delega y distribuye competencias para la suscripción de convenios, contratos y demás instrumentos consensuales en que la Universidad sea parte, publicado en Gaceta UNAM el 5 de septiembre de 2011.

1.4. Que dentro de su estructura orgánico-administrativa se encuentra el Centro de Enseñanza para Extranjeros, quien cuenta con la infraestructura y los recursos necesarios para dar cumplimiento al objeto del presente instrumento y cuyo titular es el Dr. Roberto Castañón Romo.

1.5. Que para cubrir las erogaciones que se deriven del presente Convenio de Colaboración, se afectará la partida presupuestal número 237.526.010.

1.6. Que señala como su domicilio legal el 9° piso de la Torre de Rectoría, en Ciudad Universitaria, Delegación Coyoacán, México, Distrito Federal, Código Postal 04510.

II. DECLARA "LA UNIVERSIDAD DE AMBERES":

11.1. Que es una Universidad Pública constituida conforme el decreto flamenco del 3 de abril de 2003, que contiene disposiciones relativas a la creación de la Universidad de Amberes y la modificación del Decreto del 22 de diciembre de 1995 incluyendo la modificación de diversos decretos en relación con la Universidad de Amberes.

11.2. Que su Rector, Dr. Alain Verschoren, es debidamente autorizado por el susodicho decreto a celebrar el Convenio por parte de la Universidad de Amberes.

11.3. Que señala como su domicilio legal el ubicado en Prinsstraat 13, B-2000 Amberes, Bélgica.

III. DECLARAN AMBAS PARTES:

ÚNICO. Que expuesto lo anterior, están conformes en sujetar su compromiso a los términos y condiciones insertos en las siguientes:

CLÁUSULAS

PRIMERA. OBJETO

El objeto del presente Convenio es fortalecer el funcionamiento y la operatividad del Centro Interfacultativo de Estudios Mexicanos de "LA UNIVERSIDAD DE AMBERES", en lo sucesivo "EL CEM".

SEGUNDA. ACTIVIDADES

Para la ejecución del objeto del presente Convenio de Colaboración, las partes convienen llevar a cabo las actividades que a continuación se anuncian:

1. Promover la más amplia difusión de las actividades de "EL CEM";

2. Promover la más amplia utilización de "EL CEM" por las comunidades académicas internacionales;

3. Contribuir al enriquecimiento del acervo hemero-bibliográfico de "EL CEM".

TERCERA. CONVENIOS ESPECÍFICOS

Para la ejecución de las actividades y compromisos del presente instrumento las partes celebrarán Convenio Específicos para cada caso concreto, los cuales serán suscritos por quienes cuenten con las facultades suficientes para comprometer a las partes.


CUARTA. COMPROMISOS DE "LA UNAM"

Para la ejecución del objeto de este Convenio de Colaboración "LA UNAM" se compromete a:

a) Aportar a través de la Secretaría de Desarrollo Institucional la cantidad de 35,000.00 € (TREINTA Y CINCO MIL EUROS 00/100 EUR) anuales como contribución para el fortalecimiento de "EL CEM";

b) Promover la movilidad de alumnos y profesores de "LA UNAM" para realizar estudios de posgrado, estancias sabáticas y estancias de investigación en "LA UNIVERSIDAD DE AMBERES" y en particular en "EL CEM";

c) Difundir entre la comunidad académica de "LA UNAM" las oportunidades de colaboración con este "EL CEM" y la riqueza de su acervo hemero-bibliográfico.

QUINTA. COMPROMISOS DE LA "UNIVERSIDAD DE AMBERES"

Para la realización del objeto de este instrumento "LA UNIVERSIDAD DE AMBERES" se compromete a:

a) Reconocer a "LA UNAM" como socio privilegiado de "LA UNIVERSIDAD DE AMBERES" en la misión de "EL CEM", de documentar e informar a un amplio público académico y general, con el fin de llevar a cabo mayor divulgación de la cultura y el patrimonio intelectual mexicanos en Flandes, Bélgica y Europa;

b) Ofrecer a "LA UNAM" el estatus de socio privilegiado de "EL CEM" en todas las actividades de éste: o La Cátedra de Estudios Mexicanos 'Miguel León-Portilla' o La Biblioteca Mexicana de Investigación o El curso anual sobre 'Literatura e Historia en México' o Las misiones académicas a México o Las exposiciones o Otras actividades académicas y culturales.

c) Reconocer el estatus de "LA UNAM" como socio privilegiado de "EL CEM" en sus comunicaciones por todos sus canales de difusión;

d) Comunicar las actividades académicas y culturales de "LA UNAM" entre el público de la Universidad de Amberes a través de "EL CEM";

e) Facilitar a través de "EL CEM" la movilidad de alumnos y profesores de "LA UNAM" para realizar estudios de posgrado, estancias sabáticas y estancias de investigación en la Universidad de Amberes;

f) Fomentar los contactos y las oportunidades de colaboración a cada nivel entre la comunidad académica de "LA UNIVERSIDAD DE AMBERES" y la comunidad académica de "LA UNAM".

SEXTA. COMPROMISOS DE AMBAS PARTES

Para el debido desarrollo del objeto del presente Convenio de Colaboración, las partes se comprometen a:

Colaborar según lo escrito en cláusulas Cuarta y Quinta para fortalecer los vínculos entre "LA UNAM" y "LA UNIVERSIDAD DE AMBERES" y más específicamente, para fortalecer el funcionamiento y la operatividad de "EL CEM".

SÉPTIMA. COMISIÓN TÉCNICA

Para el adecuado desarrollo de las actividades a que se refiere el presente Convenio de Colaboración, las partes integrarán una Comisión Técnica en un plazo de 30 días naturales a partir de la fecha de firma del presente instrumento, formada por igual número de representantes de cada una, cuyas atribuciones serán:

a) Determinar y aprobar las acciones factibles de ejecución

b) Dar seguimiento a las actividades previstas en este instrumento

c) Resolver toda controversia e interpretación que se derive del presente instrumento, respecto a su operación, formalización y cumplimiento

d) Las demás que acuerden las partes

OCTAVA. RESPONSABLES

Para la ejecución de las actividades del presente Convenio de Colaboración, las partes designarán como responsables:

• Por parte de "LA UNAM", al Dr. Francisco José Trigo Tavera, Secretario de Desarrollo Institucional, y al Dr. Roberto Castañón Romo, Director del Centro de Enseñanza para Extranjeros.

• Por parte de "LA UNIVERSIDAD DE AMBERES", al Dr. Philippe Meers, Presidente de "EL CEM", y al Sr. Piet Van Hoye, Director de la Oficina de Relaciones Internacionales.

NOVENA. RELACIÓN LABORAL

Las partes convienen que el personal aportado por cada una para la realización del presente Convenio, se entenderá relacionado exclusivamente con aquella que lo empleó; por ende, cada una de ellas asumirá su responsabilidad por este concepto, y en ningún caso serán consideradas como patrones solidarios o sustitutos.


DÉCIMA. PROPIEDAD INTELECTUAL

La titularidad de los derechos de autor en su aspecto patrimonial, corresponderá a la parte cuyo personal haya realizado el trabajo que sea objeto de publicación, dándole el debido reconocimiento a quienes hayan intervenido en la realización del mismo.

Las partes convienen que las publicaciones de diversas categorías (libros, cuadernillos, artículos, pósters de investigación, páginas web, bases de datos, entre otros), así como las coproducciones y difusión de éstos que llegaran a generarse en virtud del presente instrumento, se realizarán de común acuerdo. Queda expresamente entendido que las partes podrán utilizar los resultados obtenidos en las actividades amparadas por el presente instrumento en sus tareas académicas.

DÉCIMA PRIMERA. CONFIDENCIALIDAD

Las partes convienen en mantener bajo estricta confidencialidad la información de carácter técnico y financiero que se origine o se intercambie con motivo de la ejecución del presente instrumento. Para tal efecto "LA UNAM" observará lo dispuesto en el Reglamento de Transparencia, Acceso a la Información Pública y Protección de Datos Personales para la Universidad Nacional Autónoma de México.

DÉCIMA SEGUNDA. RESPONSABILIDAD CIVIL

Queda expresamente pactado que las partes no tendrán responsabilidad civil por los daños y perjuicios que pudieran causarse como consecuencia de caso fortuito o fuerza mayor, particularmente por el paro de labores académicas o administrativas, en la inteligencia de que, una vez superados estos eventos, se reanudarán las actividades en la forma y términos que determinen las partes.

DÉCIMA TERCERA. VIGENCIA

El presente instrumento entrará en vigor a partir de la fecha de su firma y tendrá una duración de 3 (tres) años, prorrogable por periodos iguales, previa evaluación de los resultados obtenidos y mediante acuerdo por escrito entre las partes.

DÉCIMA CUARTA. TERMINACIÓN ANTICIPADA

Las partes acuerdan que el presente Convenio podrá darse por terminado anticipadamente, cuando existan causas debidamente justificadas, previa notificación escrita a la otra parte, que se realice con 6 (seis) meses de anticipación, debiendo expresar las causas que motiven la terminación, en el entendido de que las acciones iniciadas deberán ser continuadas hasta su total terminación; en tal caso, ambas partes tomarán las medidas necesarias para evitar perjuicios tanto entre ellas como a terceros.

DÉCIMA QUINTA. MODIFICACIONES

El presente Convenio podrá ser modificado o adicionado por voluntad de las partes; mediante la celebración del Convenio Modificatorio respectivo, dichas modificaciones o adiciones obligarán a los signatarios a partir de la fecha de su firma.

DÉCIMA SEXTA. INTERPRETACIÓN Y CUMPLIMIENTO

Las partes convienen que el presente instrumento es producto de la buena fe, por lo que toda controversia e interpretación que se derive del mismo, respecto de su operación, formalización y cumplimiento, será resuelta por la Comisión Técnica a que se refiere la cláusula Séptima del presente instrumento.

Leído que fue el presente instrumento y enteradas las partes de su contenido y alcances, lo firman en cuatro ejemplares originales idénticos, dos en español y dos en inglés, en la ciudad de México, Distrito Federal, a los ocho días del mes de octubre del año 2015.

COLLABORATION AGREEMENT ENTERED INTO BY AND BETWEEN THE UNIVERSIDAD NACIONAL AUTÓNOMA DE MÉXICO (HEREINAFTER REFERRED TO AS UNAM), REPRESENTED IN THIS ACT BY DR. EDUARDO BÁRZANA GARCÍA, IN HIS ROLE AS GENERAL SECRETARY, TOGETHER WITH DR. FRANCISCO JOSÉ TRIGO TAVERA, THE SECRETARY OF INSTITUTIONAL DEVELOPMENT, ASSISTED BY DR. ROBERTO CASTAÑON ROMO, DIRECTOR OF THE CENTER FOR EDUCATION FOR FOREIGNERS; AND UNIVERSITEIT ANTWERPEN, HEREINAFTER REFERRED TO AS "UANTWERP" REPRESENTED BY ITS RECTOR DR. ALAIN VERSCHOREN, ACCORDING TO THE FOLLOWING STATEMENTS AND ARTICLES:

STATEMENTS

I. UNAM DECLARES:

1. That in accordance with article 1 of the Organic Law published in the official journal of the Federation on January 6, 1945; it is a public corporation decentralized from the Mexican State, endowed with full juridical authority to govern itself. Its objectives are to provide higher education to train professionals, researchers, university professors and technicians useful to society; to organize and carry out research, mainly on national conditions and problems, and to extend as much as possible the benefits of culture.

2. That the legal representation of this institution is the responsibility of its Rector, Dr. José Narro Robles, according to the provisions of articles 9 of the Organic Law and 30 of the General Statute, having, in correspondence with section I of article 34 of the Statute itself, powers to delegate it.

3. That Dr. Eduardo Bárzana García, General Secretary, and Dr. Francisco José Trigo Tavera, in his role as Secretary of Institutional Development, may rely on the necessary authority to sign this instrument; in accordance with the Agreement that delegates and distributes power for the signing of agreements, contracts and other consensual instruments to which the University is a party, as published in the UNAM Gaceta on September 5, 2011.

4. That there is a Centre for Education for Foreigners within the organic and administrative structure which disposes of the infrastructure and resources needed to comply with the object of this instrument and whose representative is Dr. Roberto Castañon Romo, the authorisation holder.

5. That to cover any expenditures arising from the present collaboration Agreement, it will affect the following budget number

II. UANTWERP DECLARES:

1. That it is a public university, constituted in accordance with the Flemish decree of 3 April 2003, containing provisions relating to the establishment of the University of Antwerp and the amendment of the decree of 22 December 1995 containing the amendment of various decrees regarding the University of Antwerp.

2. That its Rector, Dr. Alain Verschoren is duly authorized by the aforementioned decree to enter this Agreement on behalf of UAntwerp.

3. That for the purposes of the present Agreement it has the following legal address: Prinsstraat 13, B-2000 Antwerpen, Belgium.

III. BOTH PARTIES DECLARE:

UNIQUE. That they agree to sign the present Agreement according to the following terms and conditions

CLAUSES

FIRST: PURPOSE

The objective of the present Agreement is to strengthen the functioning and the effectiveness of the Interfacultative Center for Mexican Studies of the University of Antwerp, hereinafter referred to as CMS.

SECOND: ACTIVITIES

In order to achieve the objective of the present Agreement, both Parties engage to carry out the following activities:

1. Promote the wider dissemination of the activities of the CMS; 2. Promote wider use of the CMS by the international academic community; 3. Contribute to the enrichment of the hemero-bibliographic collection of the

CMS.

THIRD: SPECIFIC AGREEMENTS

In order to undertake the activities and commitments set forth in the present document, the Parties will prepare specific agreements for each particular case, which will be signed by representatives endowed with legal capacity to bind the Parties.

FOURTH: COMMITMENTS OF THE UNAM

For the execution of the purpose of the present Agreement, the UNAM commits to:

Provide through the Secretary of Institutonal Development the amount of 35,000 Euros (THIRTY-FIVE THOUSAND EUROS 00/100 EUR) per year as a contribution for the strengthening of the CMS in Antwerp. Promote the mobility of students and professors of the UNAM for postgraduate studies, sabbatical stays and research projects at the U Antwerp, and in particular in the CMS. Disseminate the opportunities for collaboration with the CMS and the richness of its hemero-bibliographic collection within the academic community of the UNAM.

FIFTH: COMMITMENTS OF UANTWERP

For the realization of the purpose of the present instrument, UANTWERP commits to:

a) Recognize the UNAM as a privileged partner of the UAntwerp in the mission of the CMS to document and inform a broad academic and general public to promote a wider dissemination of the Mexican culture and intellectual patrimony in Flanders, Belgium and Europe;

b) Provide the status of privileged partner to the UNAM in all of the activities organized by the CMS:

o The Chair of Mexican Studies 'Miguel León-Portilla' o The Mexican Library for Investigation o The annual course on titerature and History in Mexico' o The academic missions to Mexico o The exhibitions o Other cultural and academic activities.

c) Recognize the status of the UNAM as privileged partner of the CMS through all channels of communication;

d) Communicate the academic and cultural activities organized by the UNAM to the public of the University of Antwerp through the CMS;

e) Facilitate through the CMS the mobility of students and professors of the UNAM for postgraduate studies, sabbatical stays and research projects at the University of Antwerp;

f) Promote contacts and opportunities for collaboration at every level between the academic community of the University of Antwerp and the academic community of the UNAM.

SIXTH: COMMITMENTS BY BOTH PARTIES

To ensure the correct development of the objective as stated in the present Agreement, both Parties commit to:

Collaborate as written in clauses FOUR and FIVE to strengthen the bonds between the UNAM and the UANTWERP and more specifically, to reinforce the functioning and the effectiveness of the CMS.

SEVENTH: TECHNICAL COMMITTEE

For the adequate development of the activities set forth in the present Agreement, both Parties will integrate a Technical Committee within a period of 30 calendar days from the date of signature of the present document, made up of an equal number of representatives of each institution, whose responsibilities will be:

a) Determine and approve the implementation of feasible actions. b) Follow-up the activities according to what is established in this instrument. c) Resolve any dispute or interpretation arising from this instrument, with respect to

its mode of operation, formalization and fulfilment. d) All other provisions agreed upon by both parties.

EIGHTH: RESPONSIBLE PARTIES

For the implementation of the activities stated in the present Agreement, each Party shall designate a responsible person or persons.

For this purpose UNAM designates the Secretary of Institutional Development, Dr. Francisco José Trigo Tavera and the Director of the Center for Education for Foreigners (CEPE), Dr. Roberto Castañon Romo.

While UAntwerp designates the President of the Interfacultative Center for Mexican Studies, Dr. Philippe Meers and the Director of the International Relations Office, Mr. Piet Van Hoye.

NINTH: LABOR RELATIONS

Both Parties agree that staff assigned by each one for the undertaking of the present Agreement is understood to be assigned exclusively by the employing institution; thus, each institution assumes responsibility in this respect, and in no case shall the institutions be considered substitute or liable employers.

TENTH: INTELLECTUAL PROPERTY

The right to intellectual property shall devolve upon the Party whose staff have carried out the work to be published or patented, giving due acknowledgement to those who shall have contributed to the execution of said work.

Publications of various kinds (books, pamphlets, articles, research posters, web pages, databases, etc.) as well as co-productions and their distribution that could be produced as a result of this Agreement will be carried out by common consent.

It is expressly understood that both Parties may use the results obtained from the activities authorized by the present document for academic purposes.

ELEVENTH: CONFIDENTIALITY

Both Parties agree to keep the technical and financial information, that originates from or is exchanged on the occasion of the implementation of this instrument, strictly confidential. For this purpose the UNAM will observe the provisions made in the Regulation on Transparency, Access to Information and Protection of Personal Data of the National Autonomous University of Mexico.

TWELFTH: CIVIL RESPONSIBILITY

It is clearly stated that the Parties will have no claim for any damages or loss that might occur as a result of unexpected, unforeseen events, such as an academic or administrative strike. It is understood that once the unforeseen event has ceased, the Parties will resume the activities in the manner they were established.

THIRTEENTH: TERM OF THE AGREEMENT

The present Agreement shall remain in force for three (3) years, beginning with the signing of the present document, and may be renewed by means of a written communication between both Parties following an evaluation of its results.

FOURTEENTH: RESCISSION

Both Parties agree that the present Agreement may be terminated early when there are duly justified reasons, upon written notice to the other Party, six (6) months prior to the intended date of termination. The causes that motivated the termination must be set forth, in the understanding that the initiated actions should be continued until their total completion; in this case, both Parties shall take appropriate measures to prevent damages both between them as to third parties.

FIFTEENTH: MODIFICATIONS

This Agreement may be modified or extended by the mutual consent of both Parties, by entering the respective Modification Agreement; these modifications or extensions shall bind the Parties beginning with the date of signature.

SIXTEENTH: INTERPRETATION AND CONTROVERSIES

This Agreement is undertaken in good faith by virtue of which any conflict that may arise with respect to its interpretation, formalization and fulfilment, will be resolved by by the Technical Committee that is referred to in clause SEVENTH of this document.
